Welcome to CloudForgeLabs. These Terms of Service ("Supplier Agreement" or "Terms") govern your use of our AI productivity toolkit. By using our service, you agree to these Terms as well as Paddle's Checkout Buyer Terms and Conditions.

1. Definitions

• "Service" means the CloudForgeLabs AI productivity toolkit platform
• "Product" means access to our curated prompt library and related features
• "Supplier" means CloudForgeLabs / AiNext Studios
• "Consumer" means a buyer using the service for personal use
• "Business" means a buyer using the service for commercial purposes

2. Service Description

CloudForgeLabs provides a curated library of AI prompts designed for professionals. Our service includes:

• Access to 500+ tested prompts (varies by plan)
• Personal library organization features
• Team sharing capabilities (Pro and Business plans)
• Regular updates with new prompts

3. Pricing and Plans

Our current pricing structure is as follows:

• Free: $0/month — 25 prompts, 1 user
• Starter: $9/month — 500+ prompts, 1 user
• Pro: $19/month — Unlimited prompts, 3 team members
• Business: $49/month — Unlimited prompts, 10 team members, API access

4. Account Registration

To access our service, you must create an account with accurate information. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account.

5. Subscriptions and Billing

Paid subscriptions automatically renew each month unless cancelled. You can cancel anytime through paddle.net. Please cancel at least 48 hours before your renewal date to avoid being charged for the next period.

We reserve the right to change pricing with 30 days notice. Existing subscribers will be notified via email before any price changes take effect.

6. Acceptable Use

You agree not to:

• Share your account credentials with unauthorized users
• Resell or redistribute our prompts without permission
• Use our service for illegal or harmful purposes
• Attempt to reverse engineer or scrape our platform
• Exceed reasonable usage limits for your plan

7. Intellectual Property

Our prompt templates and platform content are protected by intellectual property laws. You receive a limited license to use prompts for your own work. You may not claim ownership of our prompts or redistribute them commercially.

9. Disclaimers

AI Output Quality: While our prompts are tested, AI models can produce unexpected results. You are responsible for reviewing and validating any AI-generated content before use.

Service Availability: We aim for 99.9% uptime but do not guarantee uninterrupted access. Our services are provided "as is" without warranties of any kind.

10. Limitation of Liability

To the maximum extent permitted by law, CloudForgeLabs shall not be liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability shall not exceed the amount you paid us in the 12 months prior to the event giving rise to liability.

12. Changes to Terms

We may update these Terms from time to time. We'll notify you of significant changes via email. Your continued use of our services after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

Consumers Resident in the United States

This Agreement shall be governed by the laws of the State of New York, including its Uniform Commercial Code. Any dispute shall be settled by binding arbitration in New York, NY under the Rules of the International Chamber of Commerce.

All Other Consumers

This Agreement shall be governed by the laws of England. If you are a Consumer, nothing in this clause affects your rights to rely on mandatory provisions of local law in your country of residence.

Businesses

Any dispute shall be governed by the law of England and the courts of England shall have exclusive jurisdiction.
